Terms of Service
These terms apply to your use of the layeredtrust.ai website, and set the general footing for the LayeredTrust service (the "Service"). "LayeredTrust", "we" and "us" mean LayeredTrust.ai, Inc.
1. Using the website
By using the website you agree to these terms. If you do not agree, please do not use it. The website is intended for business visitors who are at least 18. You may browse it, read our articles and contact us. You agree not to misuse it: for example, by attempting to disrupt or gain unauthorised access to it or to our systems, scraping it in a way that burdens it, introducing malicious code, or using it to break the law.
2. Information on the website
The website and our articles describe our views and our product in general terms. They are provided for information only. They are not legal, security, compliance or financial advice, and they are not an offer or a promise of particular features, availability or results. Product details can change, and what you can rely on is set out in a written agreement with us.
3. The Service
The Service is provided to organisations under a separate written agreement, order form or evaluation arrangement (the "Customer Agreement"). If these terms conflict with the Customer Agreement, the Customer Agreement prevails for the Service. Private walkthroughs and evaluations are available on request and are subject to any confidentiality terms we agree with you.
4. Customer responsibilities
The Service enforces the policies, limits and approval requirements that the customer sets. Accordingly, the customer is responsible for:
- the policies, limits and approvers it configures, and for keeping them accurate and current;
- the people it authorises to use the Service and to approve or deny actions, and for keeping their sign-in details secure;
- the AI agents and business systems it connects, and for having the rights and permissions needed to connect them;
- the information it puts into the Service, including any personal information, and for having a lawful basis to do so; and
- using the Service in line with applicable law.
The Service is a control and record-keeping tool. It does not replace the customer's own judgement, security controls, or legal and compliance obligations, and it cannot prevent every error or misuse.
5. Customer data
As between us and the customer, the customer keeps its rights in the information it puts into the Service. The customer gives us the permission we need to process that information to provide, secure, support and improve the Service. How we handle personal information is described in our Privacy Policy and, where applicable, the Customer Agreement.
6. Third-party services
The Service works with third-party systems, such as accounting or payment tools, that the customer chooses. Those systems are governed by the customer's own agreements with their providers. We do not control them and are not responsible for their availability, content or actions.
7. Intellectual property
We and our licensors own the website, the Service, and our trademarks, logos and content. Except as the Customer Agreement says, you receive no ownership rights, and you may not copy, modify, reverse engineer or resell them. You may link to the website and quote short portions of our articles with credit to us. If you send us feedback or suggestions, you allow us to use them without restriction or payment.
8. Availability and changes
We work to keep the website and the Service available, but we do not promise uninterrupted or error-free operation. We may change, suspend or discontinue the website, or parts of it, at any time. Any commitments on availability, support or service levels for the Service are those stated in the Customer Agreement. Pre-release or evaluation features are provided as they are, and may change or be withdrawn.
9. Confidentiality
Non-public information we share with you about the Service, including during a walkthrough, is confidential. Please use it only to evaluate or use the Service and do not disclose it without our consent, unless the law requires it.
10. Disclaimers
To the extent the law allows, the website is provided "as is" and "as available", and we disclaim all warranties not expressly stated in a Customer Agreement, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Some places do not allow certain disclaimers, so some of this may not apply to you.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the website. For the Service, our liability is limited as set out in the Customer Agreement. Nothing in these terms limits liability that cannot be limited by law.
12. Suspension and termination
We may restrict or end your access to the website if you break these terms or put our systems or others at risk. Access to the Service ends as the Customer Agreement provides. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers and limits on liability, will survive.
13. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Santa Clara County, California have exclusive jurisdiction over disputes about the website, except where the law gives you the right to bring a claim elsewhere. Disputes about the Service are handled as the Customer Agreement provides.
14. Changes to these terms
We may update these terms from time to time. The date at the top shows when they last changed. Continuing to use the website after a change means you accept the updated terms.
